Agreement to These Terms

These Terms of Use describe the rules for accessing or using Opaya websites, applications, products, features, and related services. By using the services, you agree to these terms. If you do not agree, do not use the services.

Opaya may update these terms as the product changes. When we make a material change, we will take reasonable steps to notify you through the website, the app, email, or another appropriate channel. Continued use after the effective date means you accept the updated terms.

What Opaya Is

Opaya is a personal finance technology service designed to help you understand financial patterns, reflect on decisions, and have calmer conversations about money.

Unless we expressly say otherwise in a written agreement, Opaya is not a bank, broker-dealer, investment adviser, credit counselor, credit repair organization, consumer reporting agency, lender, tax advisor, law firm, or insurance provider. Opaya does not hold your funds, execute trades, provide credit decisions, or prepare tax or legal advice.

Eligibility and Accounts

You must be at least 18 years old and legally able to enter a binding contract to use Opaya. You agree to provide accurate account information and keep it current.

You are responsible for keeping your login credentials secure and for activity under your account. Do not share your password or allow another person to use your account without permission.

Personal Use

Opaya is provided for your own personal, non-commercial use. You may not use Opaya on behalf of another person or business unless Opaya has agreed to that use in writing.

You are responsible for making sure your use of the services complies with laws that apply to you. If applicable law prohibits your use of Opaya, you are not authorized to use the services.

Financial Information and Read-Only Connections

Opaya may allow you to connect accounts or import information from financial institutions and third-party services. When you connect an account, you authorize Opaya and its service providers to access, retrieve, process, and display information from those services at your request.

Opaya is designed around read-only access unless a separate feature clearly states otherwise. Connected-account data may be incomplete, delayed, mislabeled, or unavailable. You should verify important financial information directly with the relevant financial institution.

AI-Powered Features

Opaya may use artificial intelligence features to summarize information, identify patterns, ask questions, or generate conversational output. AI output can be incomplete, inaccurate, outdated, or not suited to your specific circumstances.

AI output is not professional financial, investment, legal, tax, insurance, accounting, or medical advice. You are responsible for evaluating output before relying on it, and for consulting qualified professionals when a decision carries material consequences.

You may not use Opaya output to train, fine-tune, evaluate, or build competing artificial intelligence or machine learning systems, or to extract model behavior, prompts, parameters, weights, or underlying components.

Privacy

Your use of Opaya is also governed by our privacy disclosures and any in-product privacy controls. Those materials explain how personal information is collected, used, shared, retained, and protected.

Opaya may create aggregated, de-identified, or anonymized information from data processed through the services and may use that information for lawful business purposes, including operating, analyzing, securing, and improving the services, provided it does not identify you.

Subscriptions and Fees

Some parts of Opaya may require payment. If you choose a paid plan, you authorize Opaya or its payment processor to charge the payment method you provide for applicable fees, taxes, renewals, and other charges shown to you at purchase.

Fees are generally non-refundable except where required by law or expressly stated by Opaya. Opaya may change prices or paid-plan features with notice, and those changes will apply as described at the time of notice.

User Content and Feedback

You may submit information, notes, preferences, goals, feedback, or other content to Opaya. You retain ownership of content you provide, but grant Opaya the rights needed to host, process, transmit, display, format, and use that content to provide and improve the services.

If you send feedback, ideas, or suggestions, you allow Opaya to use them without restriction or compensation. Do not submit confidential third-party information or content you do not have the right to provide.

Opaya Content and Intellectual Property

The services, including software, interfaces, design, text, graphics, images, trademarks, and other materials, are owned by Opaya or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, crawl, bulk export, or create derivative works from the services except as expressly allowed by these terms or by law.

Acceptable Use

You agree not to misuse Opaya. This includes attempting to access another account, probing or bypassing security, introducing malware, overloading infrastructure, scraping data, using automation without permission, sending spam, violating law, infringing rights, or interfering with the services.

You also agree not to use Opaya to make unlawful, deceptive, harmful, harassing, defamatory, obscene, or otherwise objectionable submissions, or to submit information about accounts or financial data you are not authorized to provide.

Third-Party Services

Opaya may link to or integrate with third-party websites, financial data providers, payment processors, app stores, and other services. Those third parties are responsible for their own services, terms, privacy practices, availability, and content.

When you use a third-party integration, you may be asked to agree to that third party's terms. Opaya is not responsible for losses, errors, outages, or disputes arising from third-party services.

Changes, Suspension, and Termination

Opaya may add, change, suspend, or discontinue any part of the services. We will try to provide notice for material changes that adversely affect you when practical.

You may stop using Opaya at any time. Opaya may suspend or terminate access if we believe you violated these terms, created risk, or used the services in a way that could harm Opaya, other users, or third parties. Some provisions, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms, survive termination.

App Store Terms

If you download Opaya from the Apple App Store or another app marketplace, the marketplace provider is not responsible for Opaya, its content, maintenance, support, or claims related to the app, except as required by its own terms.

You agree to comply with applicable marketplace terms and third-party terms when using the app.

Disclaimers

Opaya is provided on an as-is and as-available basis. To the fullest extent allowed by law, Opaya disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, and error-free performance.

Financial markets, account data, personal circumstances, and AI-generated output can change or be wrong. Past performance does not guarantee future results. No content in Opaya should be treated as a recommendation to buy, sell, hold, insure, borrow, lend, or take any other financial action.

Limitation of Liability

To the fullest extent allowed by law, Opaya and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, loss of goodwill, data loss, service interruption, inaccurate results, or financial losses arising from or related to the services.

To the fullest extent allowed by law, Opaya's total liability for any claim will not exceed the greater of one hundred U.S. dollars or the amount you paid to Opaya for the services in the twelve months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless Opaya and its affiliates, officers, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the services, your content, your violation of these terms, or your violation of law or third-party rights.

Dispute Resolution

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from or relating to these terms or the services will be resolved by binding individual arbitration in San Francisco County, California, administered by JAMS under its applicable rules, unless applicable law requires otherwise.

Class actions, class arbitrations, private attorney general actions, and consolidated proceedings are not permitted. You and Opaya waive the right to a jury trial and to participate in a class action to the fullest extent allowed by law. Either party may seek injunctive or equitable relief in a court of competent jurisdiction.

Export and Sanctions Compliance

You may not use, export, re-export, or transfer Opaya or related software except as authorized by U.S. law and the laws of the jurisdiction where the services are used. You represent that you are not located in a restricted country and are not on a restricted-party list.

General Terms

You may not assign these terms without Opaya's prior written consent. Opaya may assign these terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These terms, together with policies referenced in them, are the entire agreement between you and Opaya regarding the services.
